WHO WE ARE

This Portal is owned by Permastore Limited (the “Company”). The Company is a private limited company incorporated in England and Wales under company number 00257009 and whose registered office is at Airfield Industrial Park, Eye, England, IP23 7HS.

PORTAL TERMS OF USE

The Portal is available for use by distributors and resellers invited by the Company (“Authorised Partners”).  Each Authorised Partner may nominate one or more individual(s) to access and use the Portal on its behalf.  Where nominated individuals are approved by the Company, the Company will issue them with a user-specific identification code and password, and they will become “Authorised Users” for the purposes of these Portal Terms of Use (“Terms of Use”).  These Terms of Use are legally binding on both Authorised Partners and Authorised Users.  Each Authorised Partner is responsible for ensuring compliance with these Terms of Use by its Authorised Users)

References to “you” and “your” in these Terms of Use shall be references to both the Authorised Partner and its Authorised Users.

Use of the Portal is subject to these Terms of Use (as updated from time to time by the Company as set out below).  If you do not accept these Terms of Use, you are not authorised to use or continue using the Portal.

The Company may amend these Terms of Use at any time and the revised version will be effective immediately when they are published on the Portal.

THE PORTAL

This Portal is offered as a free information service.

The content and information that the Company makes available on the Portal is provided for information only.  Although every reasonable effort has been made to ensure that the information on this Portal is accurate at the time of publication, this Portal and any information or other material contained in it are made available strictly on the basis that you accept it on an ‘as is’ and ‘as available’ basis.

ACCESSING THE PORTAL

Access to the Portal is via a user-specific identification code and password which the Company shall allocate to you.  You must treat the identification code, password, and any other piece of information which forms part of the Company’s security procedures, as confidential.  You must not disclosure it to any third party nor provide direct or indirect access to the Portal to any third party by any means.

The Company has the right to disable any user identification code or password at any time or if, in its reasonable opinion, you have failed to comply with any of the provisions of these Terms of Use.

If you know or suspect that anyone other than you know your user identification code or password, you must promptly notify the Company at portalsupport@permastore.com.

Owing to the nature of the Internet, the Company cannot guarantee that this Portal or any websites to which it is linked will always be available to you.  You should ensure that you have appropriate protection against viruses and other security arrangements in place whilst using the Internet.  You are responsible for configuring your information technology, computer programmes and platform (including any firewalls) to access the Portal.

ONLINE PRICING TOOLS

This Portal offers online pricing tools which can calculate Budgetary Quotations for a Permastore Modular Bolted Coated Containment Solution from the Permastore standard product range.  For quotations outside the Permastore standard product range please contact your usual Permastore sales representative in the normal manner.

Due to the Company constantly improving its products, it reserves the right to change any design and/or specification without notice.  This Portal reflects the general presentation of products only.  Actual operation, performance and application of the products depend on, and are subject to the limitations of, any data or information provided by or on behalf of you, or the end customer, at the time of placing an order.  It is the responsibility of you or the end customer to provide complete and accurate information and data at the time of order.  The Company reserves the right to discontinue any product or make changes to the price, description or specification of any product shown on the Portal.

Budgetary Quotations are calculated based on the information provided by you and accordingly you must provide complete and accurate information for all Budgetary Quotations.

Please note that the Budgetary Quotations that the Company provides through its online pricing tools are for guidance purposes and given as an indication only.  Firm quotations can be provided by requesting the validation of a Budgetary Quotation via the Portal or by contacting your Permastore sales representative.  Validated quotations provided by Permastore may vary from a Budgetary Quotation provided through the Portal for a number of reasons, including, without limitation, currency fluctuations, changes in the costs of labour or raw materials, the accuracy of information provided by you or specific factors of which Permastore has become aware.

Orders and Sales cannot be conducted or concluded through the Portal.  Please contact your usual Permastore sales representative to place an order for a Permastore Containment Solution.  All orders shall be made in accordance with the Authorised Partner’s Agreement and will be subject to the Company’s standard terms and conditions of sale (as amended from time to time).

HOW YOU MAY USE THE PORTAL

In accessing any part of this Portal, you agree:

• not to use the Portal in such a way that disrupts, interferes with or restricts the use of the Portal by other users;
• not to upload, display or transmit any materials through the Portal which are false, offensive, defamatory, threatening, obscene, unlawful or which infringe the rights of any other person anywhere in the world;
• not to use the Portal in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
• not to reverse engineer, decompile, copy or adapt any software or other code or scripts forming part of the Portal or attempt to transmit to or via this Portal any information that contains a virus, worm, Trojan horse or other harmful or disruptive component;
• not to change, modify, delete, interfere with or misuse data contained on the Portal; and
• only to use the content contained in the Portal for internal circulation within your organisation and in connection with potential sales of Permastore containment solutions to your customers or potential customers.

The COMPANY'S CONTENT

The Company owns or is licensed to use all intellectual property rights in and to this Portal, its content and all technical infrastructure relating to it.  The Company reserves the right to modify, alter and/or vary the content and layout of the Portal at any time without notice.

The Company owns all intellectual property rights in the Budgetary Quotations and licenses you to use Budgetary Quotations solely in connection with potential sales of Permastore containment solutions to your actual or potential customers only and you shall not disclose to any other third party without the express permission of the Company.  Where you share a Budgetary Quotation with an actual or potential customer, this is at your risk if you fail to notify the actual or potential customer that the Budgetary Quotation is for information and budgetary purposes only and it is not binding.

You may not reproduce, modify, copy or distribute or use any of the content on the Portal, other than as expressly permitted under these terms, without the prior written consent of a Director of the Company.

All information on the Portal, and all Budgetary Quotations produced using the Portal’s online pricing tools, are confidential to the Company and may only be used by you for the purposes of, and in connection with, the potential sale of Permastore Containment Solutions to actual or potential customers.  You are not authorised to use the information or the Budgetary Quotations for any other purpose nor disclose them to any third party other than an actual or potential customer.

EXCLUSIONS AND LIMITATIONS

The Company excludes, to the fullest extent permitted by law, all liability whatsoever and howsoever arising, whether in contract, tort, negligence, breach of statutory duty, misrepresentation or otherwise, out of or in connection with:

• any non-availability or use of this Portal or of any other website linked to it;
• any reliance by you on the contents of this Portal or any material or content accessed through it; and
• any loss or liability suffered by you as a result of or in connection with any Budgetary Quotation.
• Any errors or omissions arising from the use of the Portal

Where you rely on any information or other material contained within this Portal, including any Budgetary Quotation, you do so entirely at your own risk and you accept that all warranties, conditions and undertakings, express or implied, whether by common law, statute, trade usage, course of dealings or otherwise in respect of this Portal and any Budgetary Quotation are excluded to the fullest extent permitted by law.

A Budgetary Quotation is not a confirmed specification or an offer capable of acceptance and is not intended to be any representation of the final price of any product or solution or that any product or solution is available or suitable for your, or your potential customer’s, purposes.

Nothing in these Terms of Use shall limit or exclude the Company’s liability for death or personal injury caused by negligence or for fraud.

GENERAL

This Portal has been designed and these Terms of Use shall be governed by and construed in accordance with English law.  Any dispute (including any non-contractual dispute) arising out of the accessing or use of this Portal, including the provision or use of any Budgetary Quotations, shall be subject to the exclusive jurisdiction of the English courts save that nothing in this condition shall limit the right of the Company to bring proceedings in any other court of competent jurisdiction.

We may amend these Terms of Use from time to time and you are bound by any changes we make to them. If we make any substantial changes we will notify you by posting a notice on this Site. You can view the current version of these Terms of Use at any time by clicking on the Terms & Conditions link in the footer of this Site.

These Terms of Use shall be governed by and construed in accordance with English law and are subject to the exclusive jurisdiction of the English Courts.
